These Terms & Conditions apply to all Humblesauce™ services, such as our application and website. By accessing or using these services, you acknowledge and accept these Terms and Conditions. If you do not agree, you must not continue to use these services.

The following terminology, as used throughout these Terms & Conditions, Privacy Statement, and other policies unless otherwise stated, shall be defined as follows:

We nonetheless reserves the right to monitor all User Content, and to remove any User Content which it, at its sole discretion, considers inappropriate, offensive, in breach of these Terms and Conditions, or otherwise at its discretion. If you post User Content which is removed, this may also result in your removal and banning from our Platform and Services.

In using our Services, you acknowledge and affirm that that any User Content posted by you:

·       is posted by you, possessing all necessary entitlements, licences, and consent to do so; and

·       does not invade any third party or intellectual property rights, such as but not limited to copyright, patents, or trademarks; and

·       does not contain any defamatory, libellous, offensive, indecent, or otherwise unlawful material; and

·       does not solicit, advertise, or promote any business, commercial activities, or unlawful activity; and

You hereby also grant us a non-exclusive license to use, reproduce, edit, and authorise others to use, reproduce and edit any of your User Content in any and all forms, formats, or media.

HYPERLINKING TO OUR CONTENT

The following organisations may link to us automatically without our prior written approval:

·       Search engines; or

·       News organizations; or

·       Online directory distributors (who may link to our website in the same manner that they hyperlink to the websites of other businesses); or

Please include the business name, a person of contact, contact information, your website URL, a list of any URLs from which you intend to link to our website, and a list of the URLs on our site to which you would like to link. Please wait 2-3 weeks for a response. Some factors that will be considered are whether:

·       the association with the organisation would unfavourably reflect upon ourselves or our existing partners; and

·       the organisation has any negative interactions or liabilities with or to us; and

·       there is a net benefit to us with consideration to visibility and utility vs lack of traffic or exposure; and

·       whether the link is in the context of general resource information.

Approved organisations (whether approved automatically or with our approval) may link to our home page, to publications, or to other information on our Platform, so long as the link:

·       is not in any way deceptive; and

·       does not falsely imply sponsorship, endorsement, or approval of the linking party and its products and/or services; and

·       fits within the context of the linking site.

Approved organisations may hyperlink to our website as follows:

·       By use of our corporate name; or

·       By use of the uniform resource locator being linked to; or

·       By use of any other description of our Services or Platform being linked to that makes sense within the context and format of content on the linking party’s site.

We expressly do not permit the use of our logo or other artwork, unless we do so in writing such as through a trademark license agreement.

IFRAMES OR EMBEDDING OUR CONTENT

Without prior written permission, you may not create iFrames around, or otherwise embed our Platform or Services in a way that in any way alters their visual presentation or appearance.

LIABILITY FOR THIRD PARTY CONTENT

We shall not be hold responsible for any content that appears on your website or other services. You agree to protect and defend us against all claims arising from content originating upon your website or other services. No link(s) should appear on any website that may be interpreted as libellous, obscene or criminal, or which infringes, otherwise violates, or advocates the infringement or other violation of, any third party rights.

RESERVATION OF RIGHTS

We reserve the right to request that you remove all links or any particular link to our Platform or Services, and you agree to immediately remove all such links upon request. We also reserve the right to amend these our Terms & Conditions, and other policy at any time without prior notice. By linking to our Website, you agree to be bound by and to follow these linking terms and conditions.

REMOVAL OF OFFENSIVE OR ILLEGAL CONTENT

If you find any link or content upon our Platform or Services that is offensive or illegal, or that you otherwise feel requires our action, we encourage you to notify us by way of email. We will consider any requests to remove such content, but we are not obliged to do so unless compelled contractually  or by law. Please include sufficient detail, including screenshots and links, when making such a report to allow us to best address your concerns.

NON-WARRANTY OF INFORMATION

We do not in any way warrant, guarantee, or otherwise assure that any information or User Content on our Platform or Services is correct, accurate, complete, or current, or that any such information or User Content shall remain available into the future. You agree that any reliance made by you in using our Platform or Services or any information or User Content thereon is made at your own risk, and that you are responsible for making your own enquiries as to the correctness, accuracy, completeness, or currency of any such information.

DISCLAIMER

To the maximum extent permitted by any applicable consumer rights and other applicable law, we exclude all representations, warranties and conditions relating to our Platform or Services and their use.

As long as the website and the information and services on the website are provided free of charge, we will not be liable for any loss or damage of any nature.

Humblesauce™ operates under the prevailing law of the State of New South Wales in the Commonwealth of Australia.
